Plugin License & Terms of Use

Applies to: Resales Online Sync – a WordPress plugin developed by Clark Digital (a business of Robert Clark)

(Applies to all license holders from this date forward. By continuing to use the plugin, you agree to these terms.)

1. Introduction

This document constitutes the legally binding agreement (“Agreement”) between you and Clark Digital regarding the use of the Resales Online Sync WordPress plugin (“Plugin”). By downloading, installing, activating, or using the Plugin, you agree to be bound by this Agreement. If you do not agree, do not install or use the Plugin.

SECTION A: END USER LICENSE AGREEMENT (EULA)

2. License Grant

Clark Digital grants you a non-exclusive, non-transferable, revocable license to install and use the Plugin on a single registered domain per license key.

3. License Scope and Restrictions

You may use the Plugin for your business or your client’s business on one domain, as registered during license activation.

You may not:

  • Use the Plugin on multiple domains without purchasing additional licenses.
  • Use the Plugin on subdomains, staging, or development environments without prior written authorisation.
  • Distribute, sublicense, lease, sell, rent, or include the Plugin in a SaaS product, commercial bundle, or plugin package.
  • Modify, reverse-engineer, decompile, disassemble, or attempt to bypass any portion of the Plugin.
  • Disable, tamper with, or block the license verification mechanism.

“Registered domain” refers to the primary, production-use domain registered at the time of activation.

4. License Validation

The Plugin includes a continuous license validation system which verifies:

  • The license key is active and valid,
  • The plugin is being used only on the registered domain,
  • The license has not been blocked, expired, or revoked.

If validation fails, is tampered with, or blocked (e.g. by firewalls or server restrictions), the Plugin may partially or fully stop functioning. Any attempt to disable validation constitutes a breach of this Agreement.

5. Trial Use

A time-limited trial period (typically 15 days) may be offered at Clark Digital’s discretion. This trial is granted for evaluation purposes only. Duration may be shortened, extended, or excluded on a case-by-case basis.

Trial users may not:

  • Use the Plugin on live production websites for commercial gain without an active paid license.
  • Circumvent the trial expiry system or request repeated extensions without valid reason.

At the end of the trial, the Plugin may stop functioning unless a valid license is activated.

6. Termination

Clark Digital may terminate your license immediately if:

  • You violate any terms of this Agreement,
  • License tampering or unauthorised usage is detected.

Upon termination, you must cease all use and delete all Plugin files from your systems. Continued use after termination constitutes copyright infringement.

7. Intellectual Property

All rights, title, and interest in the Plugin — including all source code, compiled code, design, and associated documentation — remain the exclusive property of Robert Clark, trading as Clark Digital.

You may not:

  • Copy, reproduce, or duplicate any part of the Plugin codebase,
  • Extract code, functions, or assets for use in other projects or plugins,
  • Create derivative works based on the Plugin,
  • Claim authorship or misrepresent ownership of the Plugin or any of its parts.

The Plugin is protected under international copyright laws. Any unauthorised reproduction or reuse, in whole or in part, constitutes a legal violation and will be pursued accordingly.

SECTION B: TERMS AND CONDITIONS

8. Payments and Licensing

Licenses are sold directly or through authorised resellers. Each license is domain-specific. Payments are non-refundable unless required by law or specifically agreed to in writing.

9. Support and Updates

Paid licenses include access to updates and support for the duration of the license period. Support includes Plugin functionality only and excludes third-party plugin/theme conflicts, custom modifications, or hosting issues.

10. Limitation of Liability

Clark Digital is not liable for:

  • Any indirect, incidental, or consequential damages,
  • Loss of data, revenue, or business,
  • Downtime or plugin malfunctions due to user misconfiguration or misuse.

11. Warranty Disclaimer

The Plugin is provided "as is", without warranties of any kind, express or implied. Clark Digital does not guarantee:

  • Compatibility with all WordPress environments or versions,
  • That the Plugin will be uninterrupted or error-free.

12. Privacy

13. Governing Law & Jurisdiction

This Agreement is governed by the laws of Spain. All disputes shall be subject to the exclusive jurisdiction of the courts of Málaga, Spain, and this Agreement is enforceable internationally regardless of the user’s country of residence.

14. Survival of Terms

The provisions relating to Intellectual Property, Limitation of Liability, Governing Law, and Termination shall survive the expiration or termination of this Agreement.

15. Changes to This Agreement

Clark Digital may modify this Agreement at any time. Changes take effect upon posting. Continued use of the Plugin implies acceptance of the latest version.
